Mutual Non-Disclosure Agreement

This Mutual Non-Disclosure Agreement (the “Agreement”) is between the person completing this form (“Party A”) and the other party named below (“Party B”), starting on the Effective Date below.

  1. Purpose. The parties want to share information to explore or carry out a business relationship (the “Purpose”).
  2. Confidential information means any non-public business, technical, financial or personal information one party shares with the other, in any form, that is marked confidential or that a reasonable person would understand to be confidential.
  3. What each party agrees to. The receiving party will (a) use the other party’s confidential information only for the Purpose, (b) keep it secret using at least reasonable care, and (c) share it only with its employees or advisers who need to know it and who are bound by similar confidentiality duties.
  4. Exceptions. This Agreement does not cover information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else. Information may be disclosed if required by law, after giving the other party notice where allowed.
  5. Return or destruction. On request, the receiving party will return or destroy the other party’s confidential information.
  6. Term. These obligations last for two (2) years from the Effective Date, and for trade secrets for as long as they remain trade secrets.
  7. General. No licence or ownership is granted. This Agreement is the parties’ whole agreement on this subject and can only be changed in writing. Electronic signatures are valid and binding.
