Independent Contractor Agreement

This Independent Contractor Agreement is between the business that sent you this form (the “Company”) and you, the contractor completing it (the “Contractor”).

  1. Services. The Contractor will provide the services described below, using their own judgment, tools and methods.
  2. Payment. The Company will pay the rate below after receiving the Contractor’s invoice, within the payment terms chosen.
  3. Independent contractor. The Contractor is not an employee. The Contractor is responsible for their own taxes, insurance and business expenses, and is free to work for others as long as this does not conflict with this agreement.
  4. Confidentiality. The Contractor will keep the Company’s non-public information confidential during and after this agreement.
  5. Work product. Once paid for, work created specifically for the Company under this agreement belongs to the Company. The Contractor keeps their pre-existing tools and know-how.
  6. Ending the agreement. Either party may end this agreement with fourteen (14) days’ written notice. The Company pays for work completed up to the end date.
  7. General. This is the whole agreement between the parties and can only be changed in writing. Electronic signatures are valid and binding. The agreement takes effect when both parties have signed.
