Confidentiality Agreement

This Confidentiality Agreement is between the business that sent you this form (the “Company”) and you, the person completing it (the “Recipient”), starting on the date below.

  1. Confidential information means any non-public information the Company shares with the Recipient about its business, customers, products, plans, pricing or methods, in any form.
  2. The Recipient agrees to (a) use it only for the purpose described below, (b) keep it secret and protect it with at least reasonable care, (c) not copy or share it with anyone without the Company’s written permission, and (d) return or destroy it when asked.
  3. Exceptions. This does not apply to information that is or becomes public through no fault of the Recipient, that the Recipient already knew, or that the law requires to be disclosed (after telling the Company where allowed).
  4. Term. These obligations last for three (3) years from the date below, and for trade secrets for as long as they remain trade secrets.
  5. General. No licence or ownership is granted. This is the whole agreement on this subject and can only be changed in writing. Electronic signatures are valid and binding. The agreement takes effect when both the Recipient and the Company have signed.
